Manning Fulton is seeking a highly motivated counsel or senior associate-level attorney to join its Corporate/M&A practice. The ideal candidate will have experience working on a broad range of corporate transactions, including M&A. This position offers the opportunity to work on complex transactions while collaborating with a dynamic team of experienced professionals.
Location
- Raleigh or Durham, North Carolina offices
Duties
- Draft and negotiate corporate transaction documents, including operating agreements, loan documents, commercial contracts, purchase agreements, disclosure schedules, and private placement memoranda.
- Handle all aspects of corporate transactions, including private buy- and sell-side M&A and other corporate transactions. Advise clients on transaction structuring, execution and strategic matters.
- Collaborate with senior attorneys and cross-functional teams on transaction execution.
Requirements
- 5+ years of experience working on corporate transactions.
- Strong client management and communication skills.
- Strong knowledge of corporate law, M&A, corporate finance, commercial law, securities regulations, with the ability to navigate complex legal landscapes.
- Ability to manage multiple projects and prioritize tasks effectively in a fast-paced environment.
- A self-starter with excellent organizational and multitasking abilities.

Manning Fulton is seeking a highly motivated junior associate-level attorney to join its Corporate/Franchise practice in our Raleigh, North Carolina office. The ideal candidate will have a demonstrated interest in transactional work through relevant coursework and/or experience. Prior franchise law experience is preferred but not required. This position offers the opportunity to work on sophisticated transactions while collaborating with a dynamic team of experienced professionals.

Duties
- Assist clients with franchise structuring.
- Draft and review franchise disclosure documents and franchise agreements.
- Work on franchise termination, renewal and transfer matters.
- Handle variety of other franchise registration and compliance matters.
- Work with client on intellectual property licensing and brand protection matters.
- Work on a variety of franchise, distribution, corporate, M&A, and other commercial transactions.
- Collaborate with senior attorneys and cross-functional teams on transaction execution.
Requirements
- 0–3 years of experience.
- Demonstrated interest in transactional work through relevant coursework and/or experience.
- Prior franchise law experience preferred but not required.
- Strong academic credentials.
- A commitment to excellence, with ambition, drive, and team orientation to develop as a transactional and franchise attorney and help grow and support our practice.
