Corinne E. O’Reilly is an attorney in Manning Fulton’s Corporate Law section. Drawing on her experience in corporate and transactional law, she focuses on assisting both franchisors and franchisees with a wide range of franchise-related matters. She has a background in commercial real estate and assists clients with a variety of commercial real estate matters, including the acquisition, financing, development, and leasing of commercial properties.

Corinne is skilled in drafting, reviewing, and negotiating key legal documents, including Franchise Disclosure Documents (FDDs), franchise agreements, and ancillary contracts, ensuring compliance with both federal and state regulations, such as the Federal Trade Commission’s Franchise Rule.

Corinne’s practice also includes assisting clients with the structuring, organization and formation of various business entities, representing clients in the negotiation and drafting of leases and related documents for commercial properties, as well as conducting comprehensive title examinations and resolving complex title issues. Additionally, she has represented land conservancies and ecological restoration companies in conservation easement transactions. Corinne has extensive experience drafting and negotiating documents for various types of transactions, such as purchase and sale agreements, loan documents, and construction contracts. Her background in real estate provides her with a unique perspective on the real property-related aspects of franchise development.

Prior to joining the firm, Corinne was a commercial real estate attorney at boutique law firm in Durham, NC. She was also a certified student practitioner at the University of North Carolina School of Law Startup NC Law Clinic, where she represented startups and small businesses in corporate and transactional law.
