Corinne E. O’Reilly is an attorney in Manning Fulton’s Corporate Law section. Drawing on her experience in corporate and transactional law, she focuses on assisting both franchisors and franchisees with a wide range of franchise-related matters. She has a background in commercial real estate and assists clients with a variety of commercial real estate matters, including the acquisition, financing, development, and leasing of commercial properties.

Corinne focuses her practice on franchise and transactional matters, with experience drafting, reviewing, and negotiating Franchise Disclosure Documents (FDDs), franchise agreements, and ancillary agreements. She advises franchisors and franchisees on the legal and business considerations involved in developing, expanding, and operating franchise businesses, including compliance with applicable federal and state franchise laws and regulations, such as the Federal Trade Commission’s Franchise Rule.

Corinne’s franchise practice is complemented by substantial commercial real estate and corporate transactional experience, allowing her to advise clients on the legal and practical considerations involved in franchise development and expansion. Her experience includes business entity structuring, organization, and formation; negotiating and drafting commercial leases and related documents; conducting title examinations and resolving complex title issues; and drafting and negotiating purchase and sale agreements, loan documents, construction contracts, and other transactional documents. She also has experience representing land conservancies and ecological restoration companies in conservation easement transactions. Her background in commercial real estate provides her with particular insight into the real property considerations involved in developing and expanding franchise systems.

Prior to joining the firm, Corinne was a commercial real estate attorney at boutique law firm in Durham, NC. She was also a certified student practitioner at the University of North Carolina School of Law Startup NC Law Clinic, where she represented startups and small businesses in corporate and transactional law.
