CORPORATE/MERGERS & ACQUISITION ATTORNEY
SENIOR ASSOCIATE/COUNSEL
Manning Fulton is seeking a highly motivated counsel or senior associate-level attorney to join its Corporate/M&A practice. The ideal candidate will have experience working on a broad range of M&A and other corporate transactions. This position offers the opportunity to work on complex transactions while collaborating with a dynamic team of experienced professionals.
Location
- Raleigh or Durham, North Carolina offices
Duties
- Handle all aspects of M&A and other corporate transactions, including private buy- and sell-side M&A and other corporate transactions.
- Draft and negotiate M&A and other corporate transaction documents, including purchase agreements, disclosure schedules, operating agreements, loan documents and commercial contracts.
- Advise clients on transaction structuring and execution.
- Collaborate with senior attorneys and cross-functional teams on deal execution.
- Provide strategic counsel to clients on mergers, acquisitions, and other corporate transactions.
Requirements
- 5+ years of experience working on M&A and other corporate transactions.
- Strong client management and communication skills.
- Proven experience with document drafting and due diligence in M&A and other corporate transactions.
- Strong knowledge of corporate law, corporate finance, commercial law, securities regulations, with the ability to navigate complex legal landscapes.
- Ability to manage multiple projects and prioritize tasks effectively in a fast-paced environment.
- A self-starter with excellent organizational and multitasking abilities.

- Strong analytical, drafting, and negotiation skills.

LATERAL TRANSACTIONAL FRANCHISE ATTORNEY
SENIOR ASSOCIATE/COUNSEL
Manning Fulton has an exceptional opportunity for a transactional attorney with 5+ years of experience representing primarily franchisors in either in-house or private practice to work with our franchise transactional and regulatory team.
We are seeking energetic and committed team players with relevant experience, strong oral and written communication skills, superior organizational and analytical skills, and a commitment to excellence. We are the ideal home for an attorney who wants the benefits from working in a sophisticated mid-size full service law firm while continuing to develop professionally as a transactional franchise attorney. We are based in the Raleigh Durham market routinely voted among the best places to live in America, but are open to candidates who might need to work remotely.
Significant experience in franchise law on the state and federal level required including drafting franchise disclosure documents, franchise agreements, and area development agreements; demonstrated transactional skills, including structuring, drafting, reviewing and negotiating sophisticated contracts; reviewing and understanding intricate regulations and statutes; and managing demanding complex multi-faceted transactions. The position will prepare franchise disclosure documents, franchise agreements, other related franchise documents, work with clients on franchise registration and disclosure matters, counsel clients on compliance and franchise relations matters, and advise clients on non-franchise related strategic business decisions and related commercial transactions.
